1. Agreement to Terms

By accessing or using SimplifyOpsCo (“Service”, “we”, “us”, “our”) at https://simplifyopsco.com, you agree to be bound by these Terms of Service (“Terms”). If you disagree with any part of these terms, you may not access the Service.

2. Description of Service

SimplifyOpsCo provides AI-powered receptionist services for medical spas and healthcare facilities. Our Service includes automated appointment booking, customer communication, and practice management tools.

3. User Accounts

3.1 Account Creation

  • You must provide accurate, complete, and current information during registration

  • You are responsible for maintaining the confidentiality of your account credentials

  • You must be at least 18 years old to use this Service

  • You are responsible for all activities under your account

3.2 Account Security

  • You must immediately notify us of any unauthorized use of your account

  • We are not liable for any loss or damage from your failure to maintain account security

3.3 Account Termination

We reserve the right to suspend or terminate your account if:

  • You breach these Terms

  • You provide false or misleading information

  • Your use of the Service poses security or legal risks

4. Acceptable Use

4.1 You agree NOT to:

  • Violate any applicable laws or regulations

  • Infringe on intellectual property rights

  • Upload viruses, malware, or harmful code

  • Attempt to gain unauthorized access to our systems

  • Use the Service for any illegal or unauthorized purpose

  • Interfere with or disrupt the Service

  • Impersonate another person or entity

  • Use automated systems (bots, scrapers) without permission

4.2 Healthcare Compliance

  • You are responsible for ensuring your use complies with HIPAA, GDPR, and other applicable healthcare regulations

  • You must obtain necessary consents from your patients/clients

  • SimplifyOpsCo acts as a data processor; you are the data controller

5. Subscription and Payments

5.1 Pricing

  • Subscription fees are stated on our Pricing page

  • Prices are subject to change with 30 days’ notice

  • All fees are exclusive of taxes unless stated otherwise

5.2 Billing

  • Subscriptions are billed in advance on a monthly or annual basis

  • Payment is due upon subscription or renewal

  • We accept major credit cards and other payment methods as indicated

5.3 Auto-Renewal

  • Subscriptions automatically renew unless cancelled before the renewal date

  • You authorize us to charge your payment method for renewal fees

5.4 Failed Payments

  • If payment fails, we may suspend your account after reasonable notice

  • You remain responsible for any outstanding amounts

6. Free Trial

  • We may offer a free trial period

  • At the end of the trial, your subscription will automatically begin unless you cancel

  • We reserve the right to modify or discontinue free trials at any time

8. Intellectual Property

8.1 Our Property

  • The Service, including all content, features, and functionality, is owned by SimplifyOpsCo

  • You retain ownership of any content you submit to the Service

  • By submitting content, you grant us a license to use, store, and process it to provide the Service

  • You represent that you have all necessary rights to the content you provide

9. Data Protection and Privacy

  • We collect and use your data as described in our Privacy Policy

  • You are responsible for obtaining consent from your patients/clients for data processing

  • We implement reasonable security measures but cannot guarantee absolute security

10. Service Availability

  • We strive for 99.9% uptime but do not guarantee uninterrupted service

  • We may perform scheduled maintenance with reasonable notice

  • We are not liable for service interruptions beyond our reasonable control

11. Modifications to Service

We reserve the right to:

  • Modify or discontinue the Service at any time

  • Change features, functionality, or pricing

  • Update these Terms with reasonable notice

Material changes will be communicated via email or website notification.

12. Disclaimers

12.1 “AS IS” Basis

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

12.2 No Medical Advice

SimplifyOpsCo does not provide medical advice. Our Service is an administrative tool only.

12.3 Third-Party Services

We are not responsible for third-party services, integrations, or websites linked from our Service.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • We are not liable for indirect, incidental, or consequential damages

  • Our total liability shall not exceed the amount you paid in the 12 months prior to the claim

  • This includes damages for lost profits, data loss, or business interruption

14. Indemnification

You agree to indemnify and hold SimplifyOpsCo harmless from any claims, damages, or expenses arising from:

  • Your use of the Service

  • Your violation of these Terms

  • Your violation of any third-party rights

  • Your violation of applicable laws or regulations

15. Dispute Resolution

15.1 Governing Law

These Terms are governed by the laws of Bulgaria, without regard to conflict of law principles.

15.2 Arbitration

Any disputes shall first be resolved through good-faith negotiations. If unsuccessful, disputes shall be resolved through binding arbitration in Sofia, Bulgaria.

15.3 Class Action Waiver

You agree to resolve disputes individually and waive the right to participate in class actions.

16. Severability

If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full effect.

17. Entire Agreement

These Terms, along with our Privacy Policy and other referenced policies, constitute the entire agreement between you and SimplifyOpsCo.
